Terms of Service

Welcome to Simili. These Terms of Service ("Terms") govern your access to and use of the Simili platform, including our website, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service is designed for use by children in grades 3 through 8 (approximately ages 8–14). If you are a teacher or school administrator using the Service on behalf of students, you represent that you have the authority to accept these Terms on behalf of your school or educational institution and that you will ensure compliance with all applicable laws, including the Children's Online Privacy Protection Act (COPPA).

1. Description of Service

Simili is an AI-powered math tutoring platform that provides voice-based, interactive tutoring sessions for elementary and middle school students. The Service includes:

  • Voice-based tutoring. Students speak to an AI tutor that listens, responds with natural speech, and draws on an interactive whiteboard in real time.
  • Free-form tutoring. Open-ended exploration of math topics where the AI adapts to the student's level and interests.
  • Slides-based tutoring. Structured lessons with pre-designed slides, each with specific learning objectives aligned to Common Core standards.
  • Session analysis. Post-session reports identifying mathematical misconceptions and metacognitive skill development for teacher review.
  • Teacher dashboard. Tools for teachers to manage student accounts, view learning progress, and review session transcripts.

2. User Accounts

2.1 Teacher Accounts

Teacher registration requires a pre-approved email address. Teachers may sign up using email and password or through Google OAuth. Each teacher receives a unique 5-character access code that students use to join their class. Teachers are responsible for:

  • Maintaining the confidentiality of their login credentials and access code
  • Managing student accounts within their class, including creating, locking, unlocking, and removing student accounts
  • Obtaining any required parental or institutional consent before creating student accounts
  • Supervising student use of the Service as appropriate for their educational setting

2.2 Student Accounts

Student accounts are created under teacher supervision. Students provide only their first name and last initial and select a two-emoji password (for example, a dog and a rocket). Students do not provide an email address or any other personal contact information. Student sessions are secured with encrypted tokens that expire after 7 days.

2.3 Account Security

Student accounts are automatically locked after 3 consecutive failed login attempts within a 15-minute window to protect against unauthorized access. Locked accounts must be unlocked by the teacher. We employ server-side password verification, rate limiting, and encrypted session tokens, but no security system is infallible. You are responsible for safeguarding access to accounts under your control.


3. Use of AI and Third-Party Services

3.1 AI-Generated Content

The Service uses artificial intelligence to generate tutoring responses, whiteboard visualizations, and session analyses. Specifically:

  • Google Gemini generates the tutor's conversational responses, whiteboard drawings, and post-session learning analysis.
  • Deepgram converts student speech into text so the AI tutor can understand what the student said.
  • Cartesia converts the AI tutor's text responses into natural-sounding speech that students hear.

AI-generated content, including spoken responses, whiteboard drawings, and learning analyses, may contain errors or inaccuracies. The Service is designed as a supplemental educational tool and does not replace qualified instruction. Teachers and parents should not rely solely on AI-generated session analyses for formal assessment of student abilities.

3.2 Voice and Audio Processing

When a student uses the voice tutoring feature, their speech is captured through the device microphone, transmitted to our servers, and sent to Deepgram for transcription. The resulting text transcript is sent to Google Gemini to generate a response, and the response text is sent to Cartesia to produce audio. Audio data is processed in real time and is not stored after the session. Text transcripts of the conversation are stored as described in our Privacy Policy.

3.3 Third-Party Service Providers

The third-party services listed above process data on our behalf to deliver the Service. These providers maintain their own terms of service and privacy policies. We select providers that maintain appropriate data protection standards, but we are not responsible for their independent actions. Data shared with these providers is limited to what is necessary to operate the Service.


4. Data Collection and Use

We collect and store the following data to provide and improve the Service:

  • Teacher information. Email address, display name, and authentication credentials.
  • Student information. First name, last initial, and emoji password. No email addresses, phone numbers, or other personal contact information is collected from students.
  • Session transcripts. Full text records of tutor-student conversations, including the student's spoken words (as transcribed) and the AI tutor's responses.
  • Learning analytics. Identified mathematical misconceptions, metacognitive skill observations, lesson progress, slide completion status, and pre/post survey responses.
  • Technical performance data. Voice interaction timing, error rates, and session duration for the purpose of monitoring and improving Service quality.

5. Children's Privacy and COPPA Compliance

Simili is designed for use by children and we take children's privacy seriously. In compliance with the Children's Online Privacy Protection Act (COPPA):

  • Student accounts can only be created under teacher supervision using a teacher-provided access code. Children cannot create accounts independently.
  • We collect the minimum information necessary to provide the Service: first name, last initial, and an emoji-based password. We do not collect email addresses, phone numbers, physical addresses, or other personal identifiers from students.
  • Teachers act as authorized agents for their schools and are responsible for obtaining any required parental consent prior to student use of the Service.
  • Teachers may review, request correction of, or request deletion of student data at any time through their dashboard or by contacting us.
  • We do not use student data for advertising, marketing, or any purpose unrelated to providing the educational Service.

6. Acceptable Use

You agree to use the Service only for its intended educational purposes. You may not:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated scripts, bots, or scrapers to access the Service except as expressly authorized
  • Share teacher access codes with unauthorized individuals
  • Misrepresent your identity or affiliation when creating an account

7. Intellectual Property

All content, software, design, text, graphics, logos, and other materials available through the Service are owned by or licensed to Simili and are protected by copyright, trademark, and other intellectual property laws. This includes but is not limited to:

  • The AI tutoring system and its underlying prompts, algorithms, and configurations
  • Lesson content, slide designs, and curriculum materials
  • The whiteboard rendering system and generated visualizations
  • The user interface, design system, and interactive components

You may not reproduce, distribute, modify, or create derivative works from any part of the Service without prior written consent. Teachers may use session transcripts and learning reports generated for their students for educational purposes within their school or institution.


8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • AI-generated tutoring responses, whiteboard drawings, or learning analyses will be accurate, complete, or appropriate for any particular student
  • The Service will meet any specific educational outcomes or learning objectives
  • Speech recognition will accurately transcribe all student speech

The Service is a supplemental educational tool. It is not a substitute for qualified teachers, professional educational assessment, or individualized instruction.


9. Limitation of Liability

To the maximum extent permitted by applicable law, Simili and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill, arising out of your access to or use of the Service. In no event shall our aggregate liability for all claims related to the Service exceed the greater of one hundred dollars ($100) or the amount you paid us, if any, in the twelve months preceding the claim.


10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to:

  • Violation of these Terms
  • Conduct that we determine is harmful to other users, us, or third parties
  • Extended periods of inactivity
  • Removal from the approved teacher registry

Teachers may delete student accounts at any time through their dashboard. Upon termination of a teacher account, associated student accounts will be deactivated. We may retain certain data as required by law or for legitimate educational record-keeping purposes after account termination.


11. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service (or any part thereof) at any time, with or without notice. We may also revise these Terms from time to time. If we make material changes, we will provide notice through the Service or by other appropriate means. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.


12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware.
